Acceptable Use Policy

General

Curve Health,Inc. (“Curve”) provides a variety of information, Internet, network-, and technology-related services (“Services”). Curve has formulated this AcceptableUse Policy (“AUP”) to ensure the appropriate use of the Services and Curve’s network, systems, and facilities (“Infrastructure”) by their customers, members or end-users, and any other parties who use or access the Services or theInfrastructure (collectively, “Users”). All Users must comply with this AUP.Curve reserves the right to change this AUP from time to time and will notifyUsers by posting a revised copy of the AUP on Curve’s Web site. By using or accessing Curve’s Services or Infrastructure, Users agree to be bound by the terms of this AUP. Any indirect or attempted violation of this policy by or on behalf of a User, and any actual or attempted violation by a third party on behalf of a User, shall be considered a violation of the policy by the User and the User shall be held directly accountable, therefore.

Acceptable Use

Users may not access or use, or attempt to access or use, the Services or Infrastructure to take any action that could harm Curve or any third party, interfere with the operation of the Services or Infrastructure, or use the Services orInfrastructure in a manner that violates any applicable laws. This includes but is not limited to the following: 

Users shall not use the Services or Infrastructure to transmit, distribute, or store material: (1) in violation of any applicable law, regulation, or judicial order; (2) that violates the terms of this AUP, the terms of any applicable agreement with Curve, or any other Curve  policy (3) that interferes with or adversely affects the Services or Infrastructure or use of the Services or Infrastructure by Curve’s other customers; or (4) that may expose Curve to criminal or civil liability or (5) is inappropriate, obscene (including pornography), defamatory, threatening, abusive, advocating violence, or which violates a law, regulation, or public policy. Users shall cooperate with Curve in investigating and correcting any apparent breach of this AUP. Users shall be solely responsible for any material that they maintain, transmit, download, view, post, distribute, or otherwise access or make available using the Services or Infrastructure.

Use the Services and Infrastructure:

to upload, store, or transmit infringing, libelous, or otherwise unlawful or tortious material, transmit material in violation of third-party rights; viruses or other harmful or malicious code, files, scripts, agents, or programs; or for purposes of: (i) benchmarking or competitive analysis; (ii)developing, using, or providing a competing product or service; or (iii) any other purpose that is to Curve’s detriment or commercial disadvantage; or to violate patient privacy rights as prescribed by HIPAA or other applicable laws or regulations; or Avoid incurring charges or otherwise being required to pay for Services; or

Violate any charters, policies, rules or agreements promulgated by any search engines, subscription Web services, chat areas, bulletin boards, Web pages, USENET, or other services accessed via the Services or Infrastructure (“Usenet Rules”), including, without limitation, any cross postings to unrelated news groups, continued posting of off-topic messages, and disrupting newsgroups with materials, postings, or activities that are inappropriate (as determined by Curve in its sole discretion), unless such materials or activities are expressly allowed or encouraged under the UsenetRules; or Violate the applicable acceptable use policies of other InternetService Providers (“ISPs”) when data, content, or other communications are carried across the networks of such ISPs; or

to send spam, surveys, or any commercial communications that are not an authorized part of the Services; or use the Services orInfrastructure in any way that is illegal, fraudulent, or harmful; or

transfer, distribute, sell, resell, lease, sublease, license, sub-license, publish, assign or scrap the Infrastructure or Services without prior express written consent; or take any action that imposes an unreasonable or disproportionately large load on Curve’s Infrastructure or use any device, software, or routine to interfere or attempt to interfere with the proper working of the Services or Infrastructure.

Curve’s Rights and Remedies

Curve may suspend User’s access to any portion or all of theServices and Infrastructure if Curve determines, in its sole discretion, that:

there is a threat or attack on the Services, Infrastructure, or other event that may create a risk to the User, or any other customer of Curve; or

User’s use of the Services or Infrastructure disrupts or poses a security risk to the Services or Infrastructure or any other Curve customer; or

User is using the Services or Infrastructure for fraudulent or illegal activities, or

User has failed to make payments for the Services in the allotted time as stated in the applicable agreement.  

If Curve becomes aware that any material or information created, stored, maintained, transmitted through the Services or Infrastructure may violate this AUP and/or expose Curve to civil or criminal liability, Curve reserves the right to investigate such material, block access to such material, and suspend or terminate any Services without liability. Curve further reserves the right to cooperate with legal authorities and third parties in investigating any alleged violations of this AUP, including disclosing the identity of any User that Curve believes is responsible for such violation.Curve also reserves the right to implement technical mechanisms to prevent AUP violations. Nothing in this AUP shall limit in any way Curve’s rights and remedies at law or in equity that may otherwise be available.
